End-user license agreement

The short version: you license the hosted Onix platform for your business, your data and supplier relationships stay yours, you're responsible for what you sell, and either side can end the arrangement with fair notice and an export window.

  1. 1. Definitions

    • "Onix", "we", "us" — Onix Ltd, Suite 21, 84 Brayfield Row, London EC1V 4PW, United Kingdom.
    • "Platform" — the hosted Onix software, storefront, dashboard, APIs and related services.
    • "You", "Operator" — the person or business that holds an Onix account and runs a storefront on the Platform.
    • "Plan" — the paid package you purchase (currently Annual or Lifetime, as described on the pricing page).
    • "Store Data" — the catalogue, pricing, customer, reseller, order and supplier data you bring to or create on the Platform.
    • "Suppliers" — third-party service providers whose APIs you connect to fulfil orders.
  2. 2. License grant

    Subject to this agreement and payment of the applicable fees, Onix grants you a non-exclusive, non-transferable right to access and use the Platform to operate your own storefront(s) for your business, for the duration of your Plan.

  3. 3. Restrictions

    You must not:

    • resell, sublicense or provide the Platform itself to third parties as a competing service (selling your services through your storefront is of course the point);
    • copy, modify, decompile or reverse-engineer the Platform except where law permits;
    • circumvent usage limits, security controls or access restrictions;
    • use the Platform to send spam or to host unlawful content;
    • impose abnormal load on the Platform through abusive automation.
  4. 4. Accounts and eligibility

    You must be at least 18 and able to enter contracts for a business. Keep your account details accurate and your credentials secure — you are responsible for activity under your account. Tell us immediately if you suspect unauthorised access.

  5. 5. Fees and payment

    Current Plans and prices are shown on the pricing page (at the effective date: $99 per year for Annual, $999 one-time for Lifetime). Prices exclude any applicable taxes, which you are responsible for.

    We may change prices for new purchases at any time. A purchased Lifetime Plan is not affected by later price changes; Annual renewal price changes take effect only from your next renewal and with prior notice.

  6. 6. Subscriptions and lifetime licenses

    Annual: your Plan renews every 12 months until you cancel. You can cancel at any time, effective at the end of the paid term; the storefront stays live until then.

    Lifetime: one payment grants the license described in section 2 for as long as Onix operates the Platform, including hosting, updates and the priority support tier described in the support agreement. A Lifetime Plan applies to your business and is transferable only with our written consent (not unreasonably withheld, for example when you sell the business).

  7. 7. Store Data and ownership

    Your Store Data is yours. You grant Onix a license to host and process it solely to provide the Platform to you. You can export your Store Data at any time.

    If your account closes, we keep your Store Data available for export for at least 30 days before deletion, except for minimal records we must retain by law. Handling of personal data is described in the privacy policy.

  8. 8. Acceptable use

    You are responsible for the services you sell and for complying with the laws that apply to your business and your customers' jurisdictions — including consumer law and any rules that apply to device-unlocking and related GSM services.

    • Do not use the Platform for fraud, for services you are not entitled to sell, or to facilitate the unlocking or alteration of devices you know to be stolen or blacklisted.
    • Do not infringe others' intellectual property or privacy.
    • Do not upload malware or attempt to compromise the Platform or other users.

    We may suspend accounts that put the Platform, its users or third parties at risk (see section 15).

  9. 9. Third-party services and Suppliers

    Your Supplier accounts, balances and commercial relationships are your own. Onix provides connectivity and routing tools but is not a party to your transactions with Suppliers and does not guarantee their prices, delivery times or results.

    Third-party services you connect (Suppliers, payment gateways) have their own terms, which you are responsible for accepting and observing.

  10. 10. Intellectual property

    Onix and its licensors own the Platform and all related intellectual property. Your branding, domain and Store Data remain yours. If you send us feedback or suggestions, we may use them without obligation.

  11. 11. Confidentiality

    Each party will protect the other's non-public information received in connection with this agreement, use it only as needed to perform under this agreement, and not disclose it except to those who need it and are bound by similar obligations, or where disclosure is required by law.

  12. 12. Warranties and disclaimers

    We provide the Platform with reasonable skill and care. Otherwise, the Platform is provided “as is” and “as available”: we do not warrant that it will be uninterrupted or error-free, or that any Supplier will accept or complete an order.

    Nothing in this agreement limits rights you have under applicable law that cannot be limited by contract.

  13. 13. Limitation of liability

    Neither party is liable for indirect or consequential loss, or for loss of profits, revenue or data (other than a party's obligations for Store Data under section 7).

    Onix's total liability arising out of or related to this agreement is capped at the fees you paid in the 12 months before the event giving rise to the claim (or, for Lifetime Plans, the Lifetime fee paid).

    Nothing excludes or limits liability that cannot lawfully be excluded — including for death or personal injury caused by negligence, or for fraud.

  14. 14. Indemnification

    You will defend and indemnify Onix against third-party claims arising from your storefront, the services you sell, your Store Data, or your breach of sections 8 (Acceptable use) or 9 (Third parties), except to the extent caused by Onix's own breach of this agreement.

  15. 15. Termination

    You may stop using the Platform and close your account at any time. We may suspend or terminate your account for material breach of this agreement — with prior notice and a chance to remedy where the breach is remediable, or immediately where the breach creates legal exposure or risk to the Platform or others.

    On termination, your license ends and section 7's export window applies. Sections that by nature survive (including 7, 10–14 and 16) continue after termination.

    If Onix permanently discontinues the Platform, we will give reasonable notice and an export window for your Store Data.

  16. 16. Governing law and disputes

    This agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction — except that either party may seek injunctive relief in any competent court, and consumers retain any mandatory protections of their home jurisdiction.

  17. 17. Changes to these terms

    We may update these terms as the Platform evolves. We will give account holders at least 30 days' notice of material changes by email or in-product notice. If you continue using the Platform after a change takes effect, the updated terms apply; if you object, you may cancel per section 6. Changes will not remove the core license a Lifetime Plan has already paid for.
